- To provide legal support to HSBC's Global Commercial Banking business and specifically the area of Global Trade & Receivables Finance (GTRF) to ensure that its legal risk is fully identified and managed, transactions are supported and escalations occur in a timely manner.
- This is an opportunity for an experienced transactional banking and finance lawyer to be trained on the job and develop into a trade finance lawyer, at a world leading and award-winning provider for trade and supply chain finance solutions.
- International travel expected occasionally.
- Provide legal support to the GTRF business on transactions.
- Ensure transaction documentation, for which the jobholder is responsible, adheres to GTRF policies and procedures, to manage legal risk.
- Use agreed channels to escalate matters where necessary to ensure the business receives timely and appropriate legal support.
- GTRF transactions are supported and managed to facilitate successful and timely execution as required by GTRF senior management.
- For negotiated transactions, full adherence to GTRF policies and procedures including GTRF Legal FIM, playbooks and negotiation guidelines.
- Where necessary, matters are escalated to the local Wholesale lawyer supporting GTRF in the relevant country (unless that local lawyer has delegated the authority to liaise with the local business directly).
- Adverse consequences arising from legal issues are properly managed and mitigated and remedial action initiated in line with the materiality of the risk or issue.
- Regular and timely communications with more senior legal managers on legal developments in the jobholder's area of expertise
- The jobholder will be responsible for legal support of GTRF transactions (supervised as required by Senior Legal Counsel – GTRF GLS) and must have the ability to support a range of contractual legal issues.
- The role holder is responsible for the drafting and negotiating of various types of trade documentation.
- Role Holder is accountable to the completion of tasks which includes but not limited to:
- Review of template facility and security documentation from all CMB customer segments for products which include receivables finance, lending, documentary credits, trade collections, bonds/guarantees, supply chain finance, leasing and hire purchase.
- Gap analysis of standard terms against bespoke documentation.
- Tracking and collating data from transactional support to share with management as required.
- Amendments to standard templates.
- Review of transactional documentation, including customer board resolutions and capacity opinions.
- In specific cases, negotiation of template finance and security documentation in adherence with guidelines.
- As required by local GTRF counsel and under supervision of Senior Legal Counsel – GTRF GLS (Bangalore), support bespoke transactions Requirements
- Qualified lawyer (common law jurisdiction preferable) with a minimum of 8+ years' post qualification banking and finance law experience.
- Strong understanding of domestic banking and finance law and transactions. Trade finance experience preferred but not required.
- Strong people management experience, with an ability to motivate others and create a collaborative team environment.
- Knowledge of the HSBC Group corporate structures, its business, and a clear understanding of HSBC's corporate values.
- Ability to meet deadlines and manage workload.
- Strong communication and inter-personal skills.
- Lateral thinking/problem solving.
- Regulatory experience and an understanding of risk management is an advantage, but not essential.
