Position Title: Manager Company Secretary - Secretarial

Reports to: Head Company Secretary & Compliance Officer

Experience: 3-8 years of experience (Listed Company exp. preferred)

Location: Wakad, Pune

Qualification: CS

Job Purpose:

The job will ensure that: no penalties, additional fees or strictures be imposed on the Company under the Corporate Laws, SEBI Rules and Regulations, LODR including corporate governance etc. smoothly arrange Board of Directors and Shareholder s meetings.

Compliances of overseas rules and regulation with regard to overseas subsidiaries, by interpreting and preparing compliances and by filing returns and submitting documents on time under the provisions of respective laws applicable and conducting Board & shareholders meetings & maintenance of minutes & registers.

Key Result Areas/Accountabilities

1. Preparation of Documents for Compliances of Rules, Regulation and laws as applicable to the Company

1. Preparation of various forms, returns and other documents under various Laws, Rules and Regulations as applicable to the Company and filing the same with the statutory authorities.

2. To interpret and comply with the provisions of the SEBI LODR/ listing agreements with the stock exchanges, Companies Act, 2013 and Rules made thereunder, SEBI Rules & Regulations, Depositories & other statutory authorities.

3. To arrange the Secretarial Audit Report on Annual basis from the external Auditors in connection with Secretarial compliances.

4. Preparation of Power of Attorney to be issued in favour of Executives of the Company and arrangement for its Registration.

2. Arrangement of Board, Committee and Annual General Meetings.

3. Co-ordination, Documentation, Compliance Management Software, Trackers, Misc.
