    What We Need:
    Role: Legal AssociateWe are looking for a passionate legal mind to take ownership and the entire lifecycle of PE/VC investment transactions whilst supporting other legal functions

    Location:
    BangaloreExperience Required: 3-4 years experience in a reputed law firm

    What you'll do:
    Vetting/ drafting of various transactional documents such as:Share Purchase Agreement, Share Subscription Agreement, Shareholders Agreement, Investment Agreements, Term Sheets.

    Vetting/ drafting of various other commercial agreements such as Master Service Agreements, Customer and Vendor Agreements, License Agreements, IP Agreements, Licensing Agreements, SAAS Agreements, Purchase Orders, Proposals, etc.

    Manage all stages of the investment process, including advising on instruments from investment, legal DD, transaction documentation, negotiations, execution and negotiations with relevant stakeholders.

    Conduct and lead the legal due diligence for investee companies;M&A activities- structuring from regulatory perspective, preparing transaction documents, co-ordination with various teams, review of transaction documents related to the aforementioned structuring, implementation and compliance.

    Coordination with various stakeholders for transaction closure.
    The role involves applicability of regulatory laws (Companies Act, Competition Act, SEBI, FEMA, corporate laws, stamp duty, IP etcAny other assigned tasks as assigned

    Our ideal candidate:2-4 years experience working in a reputed law firmLLB/LLMExperience on M&A and PE/VC investment transactions is mandatoryGeneral corporate experience in advisory and vetting/ drafting of commercial agreements is mandatory;Excellent written and verbal communicationEye for detailStrong interpersonal skillsImmediate joiners would be preferred
