    Hiring Company Secretary for Affinity Global Capital Market Private Limited

    Job Description:

    1. Conducting Due Diligence:
    • Conduct thorough due diligence processes as per regulatory requirements.
    • Ensure compliance with all legal and regulatory standards.
    1. Drafting and Compliances:
    • Prepare and review legal documents, agreements, and contracts.
    • Ensure compliance with company policies, SEBI regulations, and other statutory requirements.
    1. Preparation of Draft Prospectus/Prospectus:
    • Assist in the preparation of draft prospectuses and prospectuses for various capital market transactions.
    • Coordinate with internal teams and external advisors to ensure accuracy and completeness.
    1. SEBI ICDR Compliance:
    • Ensure compliance with SEBI Issue of Capital and Disclosure Requirements (ICDR) regulations.
    • Coordinate with regulatory authorities and legal advisors for timely submissions and approvals.
    1. Corporate Governance:
    • Maintain and enhance corporate governance standards within the organization.
    • Provide guidance on governance-related matters to the board and senior management.
    1. Regulatory Liaison:
    • Serve as a liaison with regulatory authorities, including SEBI, ROC, and other relevant bodies.
    • Keep abreast of regulatory changes and update internal stakeholders accordingly.
    1. Record Keeping and Documentation:
    • Maintain accurate records and documentation related to corporate secretarial matters.
    • Ensure proper filing and archiving of legal documents and records.
    1. Compliance Reporting:
    • Prepare and submit compliance reports as required by regulatory authorities.
    • Monitor and track compliance deadlines and ensure timely submissions.
    1. Stakeholder Communication:
    • Facilitate communication between the company and its stakeholders on legal and regulatory matters.
    • Address queries and concerns from internal and external stakeholders regarding corporate secretarial issues.
    1. Continuous Improvement:
    • Stay updated on developments in corporate governance practices and regulatory requirements.
    • Identify opportunities for process improvement and efficiency enhancements within the company secretarial function.
    • Job Location: Kolkata
    • Annual CTC: Lakhs / PA
    • Eligibility: ACS
    • Experience: 06 months to 10 Years
