    Description

    Primary Function - Company

    Mandatory Qualification - Company Secretary - The Institute of Company Secretaries of India (ICSI)

    Secretarial & FEMA

    1. Drafting and review of notice, agenda, notes to agenda, minutes and other back up papers for Board Meetings / General Meetings, committee meetings etc.

    2. Preparation/review and filing of forms, documents etc. applicable for capital infusion.

    3. Preparation/review and filing of forms and returns with Ministry of Corporate Affairs, Reserve Bank of India and other statutory, regulatory and local bodies.

    4. Preparation of Board's Report, CSR Report and necessary annexures

    4. Preparation/review of annual declarations of directors and other usual reporting under Company law.

    5. Preparation and submission of documents and liaisoning and coordination for demat and pledge of securities.

    6. Ensuring compliance with Companies Act, 2013 and rules thereunder, Secretarial Standards, notifications, circulars issued by MCA etc.

    7. Making requisite entries in statutory registers and updation of other functional records.

    8. Day-to-day co-ordination with auditors (statutory/ secretarial/ internal/ secretarial consultants) and be responsible for sharing of requisite documents as and when required

    9. Drafting, review and co-ordination w.r.t. RBI Due Diligence Reports

    Returns & MIS

    1. Maintaining and updating secretarial trackers.

    2. Filing of annual /quarterly/event-based/ timely returns and forms as required by the Company Law and FEMA.

    3. Preparing/review and filing of documents, forms etc. as applicable under FEMA and RBI Compliance.

    Policy compliance and Legal update

    1. Seeking details (within organization) for compliance with policies like I&B, G&E policies etc.

    2. Preparation of mailers for creating awareness on internal policies.

    3. Keeping abreast of latest legal, regulatory developments in corporate law space.

    4. Maintaining and monitoring of Compliance Tool of organization

    5. Review of governance policies.

    Miscellaneous (Tasks/activities/additional responsibilities)

    1. To review legal agreements, documents, Non-disclosure agreements, engagement letters etc.

    2. Co-ordination for perfection of securities.

    3. Liaisoning with internal/external parties as and when required for completion of assigned activities.

    4. Providing necessary assistance to team members as and when required;

    Compliance tool

    1. To manage and update the compliance tool as a master admin and also as an owner of compliance of company secretarial domain.

    2. To audit the compliances uploaded by other team members on compliance tool and prepare a report thereon.

    Audit

    1. To interact with statutory, internal and secretarial auditors of the Company.

    2. To provide necessary documents for the audit.

    3. To attend to the queries and provide appropriate responses for the audit.

    Experience- around 3-4 years

    Salary- As per Industry Standards.
