    Job Title: Company Secretary (Fresher/Semi-Qualified) for Merchant Banking

    Job Description:

    We are seeking a proactive and driven Company Secretary, either qualified or semi-qualified, to join our merchant banking team. As a fresher or semi-qualified professional, you will play a vital role in supporting various functions related to corporate governance, compliance, and regulatory affairs, with a focus on activities such as DRHP formation, MCA ROC filings, and ensuring adherence to company laws and LODR regulations.

    Responsibilities:

    1. DRHP Formation: Assist in the preparation and filing of the Draft Red Herring Prospectus (DRHP) for initial public offerings (IPOs) and other capital market transactions. Coordinate with internal teams and external advisors to ensure compliance with regulatory requirements.
    2. MCA ROC Filings: Manage filings and submissions to the Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC), including annual returns, financial statements, and other statutory documents. Ensure timely compliance with statutory deadlines.
    3. Company Laws Compliance: Stay updated on changes in company laws, regulations, and guidelines. Assist in ensuring compliance with relevant provisions of the Companies Act and other applicable legislation.
    4. LODR Knowledge: Develop a strong understanding of the Listing Obligations and Disclosure Requirements (LODR) mandated by SEBI for listed companies. Support in compliance with disclosure norms and communication with stock exchanges.
    5. Corporate Governance: Assist in maintaining corporate governance standards by preparing board meeting agendas, drafting minutes, and maintaining statutory registers. Support in the implementation of corporate governance best practices.
    6. Documentation and Record-keeping: Maintain accurate and organized documentation related to corporate transactions, agreements, and legal matters. Ensure confidentiality and proper storage of sensitive information.
    7. Regulatory Compliance: Support in ensuring compliance with SEBI regulations, guidelines, and circulars relevant to merchant banking activities. Assist in the preparation of regulatory filings and responses to regulatory queries.
    8. Communication and Coordination: Facilitate communication between internal stakeholders, external advisors, regulatory authorities, and other relevant parties. Ensure effective coordination and timely resolution of issues.
    9. Learning and Development: Actively participate in training programs and educational initiatives to enhance knowledge of corporate governance, compliance, and regulatory requirements. Stay abreast of industry developments and best practices.

    Requirements:

    1. Bachelor's degree in Commerce, Business Administration, Law, or related field.
    2. Qualified Company Secretary (ACS) preferred, or semi-qualified pursuing Company Secretaryship.
    3. Strong understanding of company laws, MCA ROC filings, and LODR regulations.
    4. Familiarity with the preparation of DRHPs for IPOs and capital market transactions.
    5. Excellent communication, interpersonal, and organizational skills.
    6. Ability to work independently, prioritize tasks, and meet deadlines.
    7. Proficiency in MS Office suite (Word, Excel, PowerPoint).
    8. Attention to detail and accuracy in documentation.
    9. Integrity and commitment to maintaining confidentiality.
