    Legal,Compliance & Company Secretary (Manager)

    Job Description:

    We are seeking a highly experienced Compliance Manager with Secretarial and Legal function to ensure the company's adherence to all applicable laws, regulations, and corporate governance standards. The ideal candidate will possess exceptional skills in interpreting and monitoring legal and regulatory guidelines, with a focus on supporting legal functions, reviewing documents, and maintaining compliance frameworks.

    Qualifications and Experience:

    LL.B (Preferred). and Qualified Company Secretary with membership of the Institute of Company Secretaries of India (ICSI) is MUST.

    Minimum of 7 Yrs years of relevant experience in legal, secretarial, and SEBI compliances , including Listing Obligations and Disclosure Requirements, Insider Trading Regulations, Takeover Regulations, and Corporate Governance Guidelines.

    -Relevant Experience in Public Listed Entities

    • Thorough understanding of SEBI regulations

    Experience in the GCC or Banking captives industry is highly preferred.

    Excellent verbal and written communication skills with meticulous attention to detail.

    Ability to stay updated on changes in laws through research.

    Operate ethically in accordance with all applicable laws, regulations, and company policies.

    Key Responsibilities:

    Legal:

    Develop and enhance processes to ensure compliance with relevant laws, rules, and regulations.

    Stay updated on new or revised laws and ensure timely dissemination and implementation.

    Review contracts from a legal standpoint, standardize clauses, and mitigate risks.

    Assist the legal head in establishing effective processes and systems.

    Vet internal agreements, statements of work (SOWs), and liaise with regulatory bodies.

    Draft, review, and negotiate various company agreements and MOUs as required.

    Review meeting documents and ensure compliance with legal requirements for board and general meetings.

    Keep management informed of changes in company law and ensure timely implementation.

    Compliance:

    Plan and conduct compliance audits, ensuring adherence to regulatory requirements.

    Monitor compliance across functions and identify areas needing attention.

    Provide advice and recommendations on compliance matters.

    Regularly review and update compliance controls, policies, and procedures.

    Ensure employees undergo required training on corporate ethics and compliance.

    Prepare reports for submission to the global compliance team as needed.

    Act as the privacy contact and assist in implementing data protection regulations.
