    Opportunity:

    The NDA team provides support, guidance and advice to Global Banking and Markets (GBM), Wealth & Personal Banking (WPB) and Commercial Banking (CMB) Customers involving distinct and diversified customer requirements in relation to Non-Disclosure Agreements, Release/Reliance Letters, Client Money Letters, Commission Sharing Agreements and Summary of Facility Agreements. The same includes businesses from small enterprises and mid-market companies to large multinationals. In furtherance of the same, the NDA team supports Business teams and Legal Counsels located in jurisdictions across APAC, MENAT, Europe and United States, by drafting, negotiating and advising on the aforementioned documents to ensure that the completed documentation provides appropriate commercial and legal protection for the Bank.

    What you'll do:

    Job Description/Principal Accountabilities

  • To undertake negotiation and execution of Non-disclosure Agreements, Release/Reliance Letters, Client Money Letters and Commission Sharing Agreements, along with preparation of summary for executed Facility Agreements.
  • Well versed with Contracts Act, Company Law, Partnership Act, Competition Law and familiarity with laws relating to Intellectual Property Rights, Competition Act, Sanctions & AML Act along with Banking regulations (HKMA, Banking Regulation 2020) & Commonwealth Laws.
  • Provision of legal advice that is succinct, easy to understand, and adds value by identifying the root cause of the problem.
  • Required to display ownership, leadership and team-work for efficient completion of work.
  • Individual are responsible for each case/request received until its completion, with quick turnaround time, involves liasoning with legal counsels and business teams, with complete ownership of work.
  • To be considered to be a trusted adviser to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner for assigned areas.
  • Active participation and contribution in all quality initiatives within the team/ process both for improvement of productivity and quality.
  • Understand and comply with all relevant policies and procedures issued by the HSBC Global Group and contained with the HSBC's Global Group Standards Manual and relevant Functional Manuals, Desk Instructions Books and Process Guides.
  • Maintain HSBC internal control standards, including the timely implementation of internal and external audit points together with any issues raised by external regulators.
  • Promote a strong sense of teamwork to ensure all areas work collaborative and as efficiently as possible.
  • Ensure the onshore and offshore teams operate and engage as a single "virtual" team.
  • Responsible for conceptualizing and creation of robust MIS for business head and business partners to facility effective performance monitoring and review.
  • Responsible for workload management and delivery of volumes and quality which will include assigning and allocation of tasks in timely and in an accurate manner.
  • Have the ability to work autonomously with the appropriate escalations to the team lead.
  • Have a big picture understanding of the financial markets and understands business and regulatory implications of documentation aspects.

    Skills/Experience Required

  • Law degree from a recognized and reputed Law College/University in India or Overseas (E)
  • Minimum 5 years' experience working in a legal process involving drafting/vetting non-disclosure agreements and other banking or financial agreements (E)
  • Proven skills in advisory and drafting agreements (E)
  • Strong written and verbal communication skills (E)
  • Excellent time management and prioritization and multi-tasking skills (E)
  • Strong interpretation, analytical & judgmental skills (E)
  • Proficiency in MS Office (D)
  • Ability to effectively develop a rapport across a wide range of people across all related functions (E)
