    JobSummary:


    Weare seeking an experienced and highly skilled Company Secretary tojoin our organization. The ideal candidate should have a proventrack record in working with NonBanking FinancialCompanies (NBFCs) listed companies and various financialservices institutions. The Company Secretary will be responsiblefor ensuring compliance with legal and regulatory requirementsmanaging board meetings and providing expert advice on corporategovernancematters.

    Responsibilities:

    Legaland RegulatoryCompliance:

    Monitorand ensure compliance with relevant laws regulations and guidelinesapplicable to NBFCs and listedcompanies.

    File necessary formsreturns and reports with regulatory authorities ontime.

    Stay updated with changes inrelevant laws and regulations and implement necessary changes toensure compliance.

    CorporateGovernance:

    Provideexpert guidance to the board of directors on corporate governancematters.

    Organize and manage boardmeetings including preparing agendas minutes andresolutions.

    Assist in theestablishment and maintenance of corporate governance policies andpractices.

    SecretarialFunctions:

    Maintainstatutory registers and records as required bylaw.

    Prepare and file annual reportsfinancial statements and other required documents with regulatoryauthorities.

    Handle all mattersrelated to the appointment and resignation of directors and otherkey personnel.

    InvestorRelations:

    Liaisewith shareholders and handle their queries andconcerns.

    Assist in organizing annualgeneral meetings and other investorrelatedevents.

    Compliance Monitoring andReporting:

    Conductinternal compliance audits to ensure adherence to company policiesand procedures.

    Prepare and presentcompliance reports to senior management and theboard.

    RiskManagement:

    Collaboratewith the risk management team to identify potential risks andensure proper risk mitigation measures are inplace.

    Advise on riskrelated mattersabout financial servicesoperations.

    AdvisoryServices:

    Offerexpert advice to the management on legal and regulatoryimplications of businessdecisions.

    Assess the impact of newregulations and advise on the necessary actions to betaken.

    Requirements:

    QualifiedCompany Secretary with relevant professionalcertifications.

    Proven experienceworking with NBFCs listed companies and financial servicesfirms.

    Indepth knowledge of relevantlaws regulations and guidelines governing NBFCs and listedcompanies.

    Strong understanding ofcorporate governance principles andpractices.

    Excellent communication andinterpersonal skills to liaise with stakeholders at alllevels.
