    Description

    Educational Qualifications:

    CS
    Experience: 3-5 years of relevant experience of handling compliance of the company/LLP in Real Estate Finance, Corporate Finance, Corporate Analysis


    Job Description:

    • Manage AIF Fund Organisation including set up, compliance, reporting
    • Assist in structuring, review and execution of Transaction Documents and obtaining custody letter from Debenture Trustee
    • Checking & advice filing application forms and Preparing MIS for Investors
    • Review and rectify executed documents in case of any error
    • Issuing Debenture Allotment Letters and confirming IRR start dates with Investors
    • Preparing draft documents (Corporate Action Form, Beneficiary Details, Board Resolution and NSDL covering letter, obtain PAS3) for Developer
    • Issuance of Debentures with the help of R&T agent and obtain corporate action report
    • Keep track on Financial Covenants (Condition Precedents and Condition Subsequent)
    • Maintaining deal tracker for all the documents related to transaction
    • Preparation of Interest Servicing statements (per latest Beneficiary Position statement) and ensure TDS payments for Debenture Holders
    • Ensure debenture related compliance as per Companies Act 2013
    • Preparing Investor update reports
    • Ensure regular Interest and Principal payments per DTD. In case of any deviation, intimating Developer and Debenture Trustee and take appropriate steps
    • Ensure AIF Category 2 compliance
    • Understand Accounts, taxation, financial analysis of each transaction
    • Vetting of documents & eforms on various portals
    • Coordination with trustee & debenture trustee and fund accounting team

    Essential skills:

    • Good presentation skills
    • Good excel and financial analysis skills, financial modelling
    • Good command on Statutory compliance of the LLP/ Company
    • Well versed with company laws, RBI and SEBI guidelines
    • Excellent Communication skills written and verbal
    • Fast learning, solution oriented, independent
    • Having experience of enlisting company with SEBI and IPO issuance will be of added advantage
