Roles and Responsibility

Strategy

  • To deliver the SC Capital Strategic priorities as agreed with the Group MT.

Business

  • Extending support to the CS to ensure compliances for various applicable regulations and ensure adherence to group compliance requirements
  • Proactive approach in releasing / implementation of new circulars
  • Mitigate risk relating to penal consequences

Processes

  • Manage and calendarize Board and Audit, NRC, CSR, Exco meetings for the year.
  • Periodic updation of statutory registers, printing and filing of minutes and updation of company's physical records.
  • Prepare first cut of Board and committee agenda papers and skeleton of Minutes.
  • Collate Board, committee and Exco meeting inputs.
  • Coordinate and liaise for documentation and inputs pertaining to issuance of commercial papers, review of disclosure document to be updated on a periodic basis.
  • Manage logins and credentials pertaining to BSE, Bond website and SCORES Platform.
  • Maintain invoice management log, follow up with payments team for invoice clearance.
  • Support in maintenance of SDD Compliance Register.
  • Coordination with Debenture Trustees for quarterly compliance submissions.
  • Support in DSC affixation as necessary.
  • Maintaining and sharing documents for internal and external audits.

People and Talent

  • Will be the midlevel team member of the SC Capital Company Secretarial team.
  • Needs to be continuously collaborating and working with the Company Secretary, Finance, CFCC Team, ALM, Operations team, Risk team, CEO and CFO etc to ensure seamless workflow in relations to Board and Committee meetings, compliance under Listing regulations, RBI Master Directions governing NBFC's and filings with the Ministry of Corporate Affairs.

  • To implement appropriate internal controls for ensuring risk and compliance with related regulatory, group policies/ standards.

  • Knowledge of and experience in drafting of Board and committee meeting documents, debt listing compliance and prevention of insider trading regulations

  • MS Office soft skills (Word, Power Point, Excel)
  • Understanding all regulations applicable to NBFC
- (i.e. LODR and Insider Trading Regs, Companies Act, RBI Master Directions applicable to NBFC's)

  • English proficiency
  • Drafting and vetting skills
