We are currently seeking an experienced professional to join our team in the role of Legal Counsel.


The Opportunity:


The role holder, Legal Counsel, Bangalore is responsible for the day to day operations and delivery of a new India-based branch of the Global Legal Services - Banking Products team and is responsible for managing the legal risk and execution of a suite of documents, which will increase over time as part of the broader offshoring strategy of the Global Legal Function.


This is a external client-facing role with the client-base spanning various geographies globally and the role holder is responsible for the drafting, review and negotiating of the various types of credit and lending and trade agreements, as well as projects involving legal research for a global network of stakeholders.

Role Holder is accountable to the completion of tasks which includes but not limited to:

  • End to end credit and lending transaction support including negotiation support/legal drafting
  • Promote a strong sense of teamwork to ensure all areas work collaborative and as efficiently as possible
  • Technology / Workflow
  • Process Reengineering
  • Adhoc projects within GBM Legal
  • Given the unique position of being in the GSC, the individual will be required to bring standardization, where possible, across the documentation process across regions and therefore requires an individual to have the drive to establish and share best practices.
Requirements


Qualifications:


  • Legal qualification with 56 years plus of relevant work experience within the banking/financial services industry., it would be beneficial to have some private practice or law firm background, including exposure to diverse legal issues and client interactions.
  • Experience in drafting, reviewing, and negotiating complex credit and lending agreements, loan documentation, security documents/arrangements and ancillary industry standard lending transaction documents. For example, bilateral uncommitted facilities/overdrafts, bilateral committed facilities, syndicated facility agreements, guarantees and guarantee confirmation letters, ancillary CP documentation, etc. Experience with LMA/APLMA would be beneficial.
  • Demonstrable comprehensive knowledge of credit and lending laws, regulations, and practices.
  • Experience in legal advice and guidance on credit transactions, risk management, and regulatory compliance to business counterparts and other stakeholders.
  • It would be beneficial to have practical experience in trade finance transactions, including letters of credit, trade finance facilities, and documentary collections; good understanding of trade finance matters, including compliance with international trade regulations, UCP 600, Incoterms, etc.
  • It would be beneficial to have prior experience in managing crossborder transactions, considering the legal and regulatory requirements of multiple jurisdictions, Coordinating with internal and external stakeholders across different regions to facilitate smooth crossborder transactions. Good understanding of compliance with antimoney laundering (AML), knowyourcustomer (KYC), and other regulatory obligations in crossborder dealings.
  • Ability to effectively engage and negotiate with senior stakeholders, demonstrating considered foresight and highly developed interpersonal skills
  • Experience of successfully working with teams of highly skilled individuals
  • Able to deal with and constructively resolve conflicting views and where necessary, escalate to senior management in a clear and succinct manner
  • Be change oriented and able to cope with pressure and tight deadlines
