Position Title:
Company Secretary & Paralegal - IMEA


Position Summary:
The Position includes two central aspects of legal and compliance tasks for Momentive in India:

  • Legal advice and support of Momentive's business and functional activities in India with a strong focus on Momentive's global and regional vision and strategy.
  • Ensure compliance with all mandatory requirements as appointed Company Secretary, including interaction with all relevant internal stakeholders, management and execution of necessary filings and other requirements.

Job Description:

The Position includes two central categories of legal and compliance tasks and responsibilities:

  • Paralegal - Strategic legal and compliance support for Momentive's operations in India
  • Support and legal advice to Momentive's commercial activities (Sales and Procurement) in India related to contracts, including drafting of various agreements like supply contracts
  • Support of legal aspects related to Momentive's distribution network in India and support of the Distribution Channel Team on legal and Compliance aspects
  • Support on legal aspects of Momentive's financing structure in India, including drafting support for loan agreements
  • Strategic support and advice on Integrity Compliance aspects of Momentive's activities in India, including e.g. Integrity or Compliance trainings, strategic advice and counseling on Integrity Compliance matters
  • Conduct of Integrity investigations on concerns raised out of or in relation to Momentive's activities in India
  • Management and oversight of the legal and compliance aspects of Momentive's mandatory CSR activities for the organization
  • Support for local and regional communication to support the awareness and knowledge about Momentive's Integrity and Compliance program
  • Active participation in the global Integrity Practice Group and global compliance and Integrity initiatives of the Legal Team.
Company Secretary - compliance support on mandatory requirements as appointed Company Secretary of Momentive in India:

  • Management and execution of the mandatory governance framework for Momentive in India with regards to statutory and regulatory requirements
  • Active stewardship of Momentive's corporate governance structure for the entities and operations in India
  • Draft and formalization of Board Minutes of Momentive India's board of directors, minutes and protocols of Momentive India's shareholder meetings
  • Management and execution of the statutory governance requirements of Momentive India, under the Companies Act, Factories Act, FEMA and other applicable acts
  • Constant oversight and maintenance of filing requirements for the statutory company registers, e.g. efiling of annual accounts, annual reports with ROC
  • Support on (only) legal and compliance aspects of financial audits.

Qualification:

  • Company Secretary, University Law Degree
  • Minimum 5 years of relevant experience of working in a legal profession, e.g. law firm or legal department of a company
  • Minimum of 3 years of relevant experience of working as a Company Secretary or on corporate governance matters
  • Excellent knowledge of India commercial and contract laws
  • Excellent knowledge of corporate governance requirements
  • Fluent in English language (fit for negotiations)
  • Experiences with working in an international or global organization
  • Agile working style
  • Ability to work in international teams
  • Business savy, experienced in working and advising on legal matters with a focus on strategy and business relations
  • Embrace an open communication and feedback culture
