My professional work experience as a senior legal associate includes drafting and negotiating a wide range of commercial agreements for IT/BPO industry with a focus on contracting (CLM) and compliance. I primarily work on MSAs, Services Agreements, Lease Agreements, SOWs, Addendums, Work Orders, Change Orders, NDAs etc. and provide day-to-day commercial-related legal advice in line with company goals, business priorities and best practices.

• Drafting, reviewing/redlining of client and vendor contracts including Master Services Agreements, Services Agreements, Outsourcing Agreements, Statement of Works, NDA’s, Security Agreements, Lease Agreements, License Agreements. Assisting in end to end contract management including negotiations.
• Identifying and explaining commercial agreement terms and associated risks to the relevant business stakeholders and interpret contract requirements, obligations and risk assessment or exposure, including legal, regulatory and company policy compliance, and advise on same.
• Evaluating and updating existing contract templates and developing new templates as needed.
• Coordinating with outside counsels and legal vendors for accruals and billing issues.
• Coordinating and assisting HR, Facilities, IT, Admin and Info Sec on various corporate and legal matters.
• Assisting with compliance documentation related to Mergers and Acquisitions (M&A).
• Managing and handling corporate documents including minutes and resolutions, leases for all global locations, renewal of company insurance and other charter documents for all global entities at SharePoint.
