Description
Responsibilities:
- Act as the primary point of contact between the company and regulatory authorities, ensuring timely submission of all required documents and disclosures.
- Organize and prepare agendas for board meetings, annual general meetings, and other company meetings.
- Draft minutes of meetings and maintain accurate records of all company proceedings.
- Advise the board of directors on corporate governance matters and ensure adherence to applicable laws and regulations, including FEMA regulations.
- Facilitate communication between the board of directors, management, and shareholders.
- Monitor changes in relevant legislation and regulations and advise the company on necessary actions to maintain compliance, particularly about FEMA.
- Assist in the preparation of annual reports, financial statements, and other statutory filings, including ROC filings.
- Manage the company's register of shareholders and ensure compliance with disclosure requirements.
- Coordinate with internal and external stakeholders, including legal counsel, auditors, and regulatory authorities.
- Handle fundraising activities, private placements, and debt issuances, ensuring compliance with regulatory requirements.
- Handle FEMA compliances form FC GPR, FC TRS, etc.
- Handle any other duties and responsibilities as assigned by the management.
Requirements:
- Qualified Company Secretary with membership of the Institute of Company Secretaries of India (ICSI).
- Shall have prior experience working in a PCS firm.
- In-depth knowledge of Indian corporate laws, regulations, and governance practices, including FEMA regulations.
- Strong experience in fund-raising activities and familiarity with regulatory requirements.
- Experience in preparing and filing ROC (Registrar of Companies) filings.
- Strong communication, interpersonal, and organizational skills.
- Ability to work independently and handle multiple tasks simultaneously.
- Attention to detail and high level of accuracy in documentation and record-keeping.
- Proficiency in MS Office suite and familiarity with corporate governance software/tools.
- Proactive approach to problem-solving and ability to anticipate and mitigate risks.
Pay:
₹50, ₹60,000.00 per month
