Responsibilities:

Corporate Governance: Ensure compliance with corporate governance regulations, statutes, and best practices. Advise the board of directors on corporate governance matters and facilitate adherence to corporate governance principles.

Board Support: Organize and coordinate board meetings, including preparing agendas, collating and distributing board packs, and recording minutes of meetings. Assist in the drafting of resolutions, reports, and board communications.

Legal Compliance: Monitor changes in corporate laws, regulations, and compliance requirements applicable to the company. Ensure timely filings with regulatory authorities, such as Companies House, and maintain statutory registers and records.

Shareholder Relations: Manage communication with shareholders, including organizing annual general meetings (AGMs), distributing notices and proxies, and responding to shareholder inquiries. Facilitate shareholder voting and proxy processes.

Corporate Documentation: Draft and review corporate documents, such as articles of association, board policies, and corporate governance guidelines. Maintain the company's constitution and ensure alignment with legal requirements and business objectives.

Corporate Secretarial Records: Maintain accurate and up-to-date corporate secretarial records, including board minutes, resolutions, registers of directors and shareholders, and other statutory filings. Ensure proper documentation and record-keeping practices.

Risk Management: Identify, assess, and mitigate corporate risks related to governance, compliance, and legal matters. Implement risk management frameworks and procedures to safeguard the company's interests and reputation.

Advisory Role: Provide strategic advice and guidance to the board, senior management, and other stakeholders on corporate governance, regulatory compliance, and company secretarial matters. Act as a trusted advisor on legal and governance issues.
Qualifications:
- Bachelor's degree in Law, Business Administration, Finance, or related field. Professional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) or equivalent certification preferred.
- Proven experience in company secretarial, corporate governance, or legal roles, preferably in a publicly listed company or regulated environment.
- Sound knowledge of corporate laws, regulations, and governance principles.
- Excellent communication and interpersonal skills, with the ability to interact confidently with board members, senior executives, regulators, and external advisors.
- Strong organizational and time management skills, with the ability to prioritize tasks and manage multiple deadlines.
- Attention to detail and accuracy in documentation, recordkeeping, and compliance reporting.
- Analytical and problemsolving abilities, with a strategic mindset and business acumen.
- Integrity, discretion, and professionalism in handling confidential information and sensitive matters.
Salary:
₹25, ₹65,000.00 per month
