Company Secretary (CS) - Listed Company Compliance
Responsibilities:
Ensure compliance with all applicable laws, regulations, and guidelines issued by the ROC, SEBI, NSE, BSE, and other relevant authorities.
Assist in the preparation and filing of necessary forms, returns, and reports with the ROC, SEBI, stock exchanges, and other regulatory bodies.
Monitor changes in relevant laws and regulations, assess their impact on the company, and provide guidance to management and stakeholders.
Support the corporate governance framework, ensuring compliance with applicable codes and guidelines.
Advise management on corporate restructuring, mergers, acquisitions, and other related matters from a compliance perspective.
Prepare and submit periodic reports, disclosures, and filings to regulatory authorities and stock exchanges as per their prescribed timelines.
Conduct internal audits to assess compliance levels, identify gaps, and recommend corrective actions to mitigate risks.
Liaise with external legal counsels, auditors, and consultants to seek expert advice and ensure compliance with legal and regulatory requirements.
Provide guidance and training to internal teams on compliance matters, corporate governance, and regulatory changes.
Respond to shareholder queries, manage shareholder communication, and maintain transparency in all regulatory disclosures.
Stay updated on emerging regulatory trends, best practices, and changes in the legal and compliance landscape.
Collaborate with cross-functional teams, such as finance, legal, and human resources, to ensure cohesive compliance efforts across the organization.
Qualifications:
Bachelor's degree in commerce, law, or a related field. Additional qualifications such as a CS degree from the Institute of Company Secretaries of India (ICSI) is mandatory.
Proven experience of 4-8 years as a Company Secretary in a listed company, demonstrating a thorough understanding of ROC, SEBI, NSE, BSE compliance, and related matters.
Familiarity with corporate governance principles and best practices.
Strong analytical and problem-solving skills with attention to detail.
Excellent communication and interpersonal skills to effectively interact with stakeholders at all levels.
Ability to work independently, handle multiple tasks, and meet strict deadlines.
Membership of ICSI and good standing as a practicing company secretary.
Familiarity with digital platforms and tools for efficient compliance management is a plus.

₹30, ₹60,000.00 per month
