Position Overview:


A Company Secretary plays a vital role in ensuring compliance with statutory and regulatory requirements and facilitating effective communication between the board of directors, management, and shareholders.

They serve as a key advisor on corporate governance, legal matters, and company law, providing support to the board and senior management in decision-making processes.

The Company Secretary acts as a custodian of corporate records and maintains the integrity of corporate governance practices within the organization.


Key Responsibilities:

  • Corporate Governance:
  • Advise the board of directors and senior management on corporate governance best practices, regulatory requirements, and compliance obligations.
  • Organize and facilitate board and committee meetings, including preparing agendas, collating board packs, and drafting minutes.
  • Ensure compliance with corporate governance principles, codes, and guidelines applicable to the organization.
  • Regulatory Compliance:
  • Monitor changes in company law, corporate governance standards, and regulatory requirements, and assess their impact on the organization.
  • Ensure compliance with statutory and regulatory filings, including annual returns, financial statements, and other disclosures.
  • Liaise with regulatory authorities, such as the Companies Registry, Stock Exchanges, and regulatory bodies, on behalf of the company.
  • Legal Advisory:
  • Provide legal advice and guidance on corporate legal matters, contracts, agreements, and other legal documents.
  • Review and negotiate contracts, agreements, and legal documents to protect the interests of the company and mitigate legal risks.
  • Collaborate with external legal counsel on complex legal matters and litigation cases, as required.
  • Shareholder Relations:
  • Serve as a point of contact for shareholders, investors, and other stakeholders, addressing their queries and concerns in a timely and professional manner.
  • Coordinate shareholder meetings, including the annual general meeting (AGM), and ensure compliance with meeting formalities and voting procedures.
  • Manage shareholder communications, proxy voting, and shareholder engagement initiatives.
  • Corporate Records Management:
  • Maintain accurate and uptodate corporate records, including company registers, minutes of meetings, resolutions, and other corporate documents.
  • Ensure the safekeeping of corporate seals, certificates, and legal documents, and manage access to confidential information.
  • Facilitate the dissemination of corporate information to relevant stakeholders in accordance with legal and regulatory requirements.
  • Risk Management:
  • Identify, assess, and mitigate legal and compliance risks affecting the organization's operations and reputation.
  • Develop and implement risk management policies, procedures, and controls to safeguard the company's interests and assets.
  • Report on legal and compliance risks to the board and senior management and recommend appropriate risk mitigation measures.

Qualifications and Skills:

  • Bachelor's degree in law, business administration, or related field. A professional qualification as a Company Secretary (e.g., ICSA) is preferred.
  • Several years of experience in corporate governance, legal advisory, or company secretarial roles, preferably in a listed company or regulated environment.
  • Strong understanding of company law, corporate governance principles, and regulatory requirements.
  • Excellent communication, interpersonal, and negotiation skills.
  • Ability to work effectively under pressure, manage multiple priorities, and meet deadlines.
  • High level of integrity, professionalism, and confidentiality.
  • Proficiency in MS Office and corporate governance software/tools.

₹500, ₹800,000.00 per year
