    Description

    Key Responsibilities:

    Transaction Planning and Execution: Lead the end-to-end merger and amalgamation process, including deal sourcing, due diligence, negotiation, and documentation, to facilitate successful transactions. Collaborate with internal stakeholders, external advisors, and counterparties to develop transaction strategies and structures aligned with the NBFC's business goals and regulatory Requirements.

    Structuring and Negotiation:

    -Develop deal structures and terms that optimize value creation, mitigate risks, and address key stakeholder interests, negotiating favourable terms with counterparties and regulatory authorities.

    -Draft transaction documents, including merger agreements, share purchase agreements, and ancillary contracts, ensuring accuracy and compliance with legal and regulatory requirements.

    Tax Planning: Develop and execute tax strategies to minimize the NBFC's tax liabilities while ensuring compliance with applicable tax laws and regulations.

    Tax Compliance: Monitor changes in tax laws and regulations relevant to NBFCs and ensure timely compliance with all tax filing requirements, including income tax, goods and services tax (GST), and other indirect taxes.

    Tax Optimization: Identify opportunities to optimize the NBFC's tax structure, including the use of tax credits, incentives, and exemptions, to maximize tax efficiency and reduce overall tax burden.

    Transfer Pricing: Manage transfer pricing policies and documentation to ensure compliance with transfer pricing regulations and mitigate transfer pricing risks associated with intra-group transactions.

    Tax Risk Management: Assess and mitigate tax risks associated with the NBFC's operations, investments, and transactions, and develop strategies to address any potential tax controversies or disputes.

    Tax Reporting: Prepare and review tax calculations, provisions, and disclosures for financial reporting purposes, ensuring accuracy and consistency with applicable accounting standards and regulatory requirements.

    Tax Advisory: Provide tax advice and guidance to internal stakeholders on various business initiatives, including mergers and acquisitions, restructuring, and new product launches, to ensure tax implications are adequately considered and addressed.

    Relationship Management: Build and maintain relationships with external tax advisors, consultants, and regulatory authorities to stay informed about industry best practices, emerging tax trends, and regulatory developments.

    Qualifications and Skills:

    • Chartered Accountant ,Bachelor's degree in accounting, finance, taxation, or a related field; advanced degree (e.g., Master of Taxation, CPA) preferred.
    • Minimum of 3-5 years of experience in tax planning, compliance, and advisory roles within the financial services industry, with specific experience in NBFC taxation preferred.
    • In-depth knowledge of Indian tax laws and regulations applicable to NBFCs, including income tax, GST, transfer pricing, and other indirect taxes.
    • Strong analytical skills, with the ability to interpret complex tax regulations and assess their impact on the NBFC's operations and financial performance.
    • Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams and external stakeholders.
    • Proficiency in tax software and accounting systems, as well as Microsoft Excel and other analytical tools.
    • Professional certifications such as Chartered Accountant (CA) or Certified Public Accountant (CPA) preferred.
    • Attention to detail and a commitment to maintaining high standards of accuracy and integrity in all tax-related activities.
    • Ability to work independently, prioritize tasks, and manage multiple deadlines in a fast-paced, dynamic environment.
