JOB DESCRIPTION OF A COMPANY SECRETARY
We Green tech Environ Management Pvt. Ltd.

Is looking for a dynamic professional in our company for the position of
Company Secretary (CS) is the key managerial personnel for our company.


Responsibilities of a Company Secretary:
The CS appointed by a company must perform the following functions as provided in Section 205 of the Act:

  • Report to board of directors about the compliance statement of the company.
  • Ensure that the company is complying with all secretarial standards.
  • Do all such other duties as prescribed by the company board of directors from time to time.

Duties of a Company Secretary:
Rule 10 of the Rules provides the duties of the CS, which are as follows**:

  • Provide the company directors guidance as they may require concerning their powers, duties and responsibilities.
  • Facilitate the convening of meetings, attend general, board and committee meetings, and maintain the minutes of these meetings.
  • Obtain approvals from the general and board meetings, government, and other required authorities as provided under the provisions of the Act.
  • Represent before several regulators and other authorities under the Act connected with the discharge of duties under the Act.
  • Assist the company board in the conduct of the company affairs.
  • Advice and assist the board in complying with the corporate governance requirements, ensuring good corporate governance and best practices.
  • Discharge such other duties as specified under the Act or rules.

(I) Statutory Functions or Duties and

(II) Non-statutory Functions or Duties.

Statutory Functions:
The Companies Act, 1956, imposes certain duties upon the Secretary.


The Companies Act has specified the following duties of the Company Secretary:

  • Signing of Annual Returns,
  • Registration of Allotment Returns,
  • Issuing Share Certificates,
  • Convening Annual General Meeting,
  • Maintaining Share Registers,
  • Maintaining Register of Directors.

Non-statutory Functions:

The non-statutory functions of the Company Secretary vary with the nature and size of the company. He has got certain non-statutory functions in relation to Directors, shareholders and office and staff.

The functions of the Secretary in relation to the Directors are
:

(I) He is to ensure that the actions of the Board of Directors are strictly in accordance with the provisions of the law.

(II) He helps the Board of Directors to formulate policies and arrive at decisions.

(III) He issues notices and prepares the agenda in consultation with the Chairman for the meeting of Board of Directors.

(IV) He prepares the Minutes of the Board meeting.

(V) He issues the orders and instructions of the Board to the members of the staff.

(VI) He arranges for the payment of Directors' fees.

(VII) He maintains all important correspondence, files, documents and records of Board office.

Functions in Relation to Meetings:

(I) The Secretary of the company has to deal with all kinds of meetings of the company. (II) There are different types of company meetings—Statutory Meeting, Annual General Meeting, Board Meeting, Extraordinary General Meeting, meeting of debenture holders etc. (III) In all these cases, the Secretary has to arrange for everything in connection with the meeting.


As a Liaison Officer the Company Secretary has to:
(I) Convey all decisions, policies, orders and directions of the Board to the members of the staff, shareholders and the public.

(II) Negotiate with the third parties for the settlement of contracts and bargains.


Functions of the Company Secretary as Advisor to the Management:

A qualified Company Secretary, well-conversant with all the aspects of company management, is in a better position to give right advice to the Board of Directors.


Rights of the Company Secretary

  • As the head of the secretarial department, the Secretary has the right to control, direct and supervise the activities of the department.
  • As the principal executive officer of the company the Secretary has the right to sign documents which require authentication of the company.

Qualifications:


The secretary of a cooperative society should possess the following qualifications:

(I) Graduate from a recognised university (ICSI).

(II) A good knowledge of English.

(III) A good working knowledge in Accountancy.

(IV) A good knowledge of secretarial practice.

(V) A good knowledge of office procedure and ability of drafting notices, letters, minutes etc.

Job Timing: 9:30am to 6:30pm (Monday to Saturday)
