Purpose - The role of Company Secretary is responsible for the efficient administration of the company,with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.


  • Handle Secretarial work for two Subsidiary Companies and four Group Companies.
  • Organising AGM ,Board Meetings and various Committee Meeting of the Company and also preparation of Notice & Agenda of these meetings. Sending required notices to stock exchanges and publishing the notice in newspapers as stipulated as per Listing Agreements
  • Preparing and maintaining of Secretarial Records & all required Registers as well as preparing of BM/ AGM/ EGM Minutes.
  • Filing of required form with ROC/MCA. Filing of accounts/ XBRL with MCA. Supporting Auditors in Audit work for all secretarial related matters and support in smooth functioning of audit.
  • Providing support to practicing CS for preparing & presenting Secretarial Compliance Audit work.
  • Preparing and timely filing and submitting required statutory compliances with NSE/ BSE/ SEBI/ ROC/ MCA etc. and dealing with the respective authorities including Registrar ,Share Transfer Agent of the Company and credit rating agencies as per requirement.
  • Also filing of required quarterly/ half yearly/ yearly reports with NSE/ BSE as required under Listing Agreement.
  • Preparing &filing of Corporate Governance Certificate of the Company and filing of the same with Stock Exchanges. Also coordinating of taking various compliance certificates internally from department.
  • Advising on good governance practices and compliance of Corporate Governance norms as prescribed under the Companies Act, 2013 and various laws and regulations and guidelines made under various acts pertaining to Secretarial work.
  • Dealing with Shareholders/ Investors & dividend related matters and ensure proper information sharing with the shareholders regarding sending of Annual Report and all required regular intimation or communication.
  • Also timely payments of dividend to shareholders and addressing all queries/ doubts/ complaints of shareholders. Also addressing all complaints of shareholders filed on SCORE site maintained by SEBI.
  • Ensures that Board procedures are regularly reviewed and provides guidance to Chairman and the Directors on their responsibilities under various laws.
  • Maintenance of secretarial records, statutory books and registers, minutes books as required by the law.
  • Perform/ support in Secreterial/ Complaince audit. Also support in statutory & Internal Audit for the area relating to Secretarial Department.
  • Ensure compliances to all legal work & compliances of various departments' legal requirement.
  • Preparing / vetting / reviewing of various Agreement/ Contracts/ letters/ NDA's and other required documents and writings for various departments.
  • Preparing / vetting and reviewing various LOI, showroom agreements, GH Agreements as well as Franchise agreements and addendum agreements / letters / writings etc. in coordination with Project as well as Franchise team. Also reviewing various online agreements and vetting / reviewing letters/ writings for online marketing related work.
  • Reviewing and discussing with advocates/ legal counsel in providing regular support in past as well as current legal cases
