Job description
Co-ordination for holding Board and Committing Meetings
Preparation of Agenda and related papers for Board and Committee Meetings
Preparation of Minutes of the Board and Committee Meetings
Action taken Report from the Board / Committee Meetings
Ensuring timely completion of Post meeting Compliance
Ensuring timely filing of various forms to ROC
Ensuring proper replies are provided to notices, if any
Ensuring timely compliance with SEBI Regulations including LODR, SAST, ICDR, DP Act,
Ensuring Compliance under SEBI PIT Regulations including maintenance of SDD
Handling Secretarial Audit; Statutory Audit for secretarial matters
Compliance with event based matters
- Right Issues/ Preferential issue/ appointment of directors/ KMPs/ Remuneration of MD/ ED/ ESOPs etc
Corporate Actions; Website updations General Meetings
Ensuring drafting, reviewing and assisting in finalisation of Annual Report
Ensuring drafting, reviewing and assisting in finalisation of Postal Ballots or other general meeting matters
Ensuring timely dispatch of notice of GM
Postal Ballots
Proceedings and minutes of GM/ Postal Ballots HR DOCUMENT Page 2 of 2 Should Have
