GSEC Limited is looking for Company Secretary as per given below criteria:

  • Position Required : Company Secretary

Experience : 5 to 7 years


Job Descriptions:


  • For handling all Corporate Law and Secretarial related matters;
  • Conduct of Board, Committees and Shareholder's Meetings and its pre and post compliances;
  • Drafting of Notices, Agenda, Resolutions (including circular resolutions) and Preparation of Minutes of Board Meetings, General Meetings, and Committees Meetings;
  • Update to Management time to time for any updates of Statutory Compliances;
  • Drafting and updating policies of the Company as per statutory requirements;
  • Preparation for Incorporation of Company & Limited Liability Partnerships (LLP) and filings with ROC, Central Government/ RD etc;
  • Well versed with all the provisions of the Companies Act, 2013 and its allied legislations, rules and regulations.
  • Liaison with Various Statutory Authorities i.e. ROC, Reserve Bank of India, Authorized Dealers, R&T Agents, etc.
  • Filling of returns and related documents with the MCA, RBI, Depositories, etc and maintenance of statutory registers
  • Responsible for all corporate actions relating to issue of shares/Preference Shares /transfer of shares, payment of stamp duty etc.
  • Drafting & vetting of all types of Agreements and documents like Shareholders and Acquisition Agreement, distribution agreements, inter corporate loan agreement, LLP Agreements, Partnership Agreement etc, Loan documents like Mortgage, Hypothecation and all types of facility agreements, creation/ modification / satisfaction of charges, MOU, Affidavits, Declarations ,NDA;
  • Interaction with the Directors, Senior Management Team, Statutory Auditors & Internal Auditors, Secretarial Auditors;
  • Compliances related to RBI, FEMA like FC-TRS, FC-GPR, FLA, ODI and APR.
  • Preparation of Director's report and compilation of data therein for Annual Report
  • Having expertise in Merger/ Amalgamation / Demerger, Due Diligence etc.
  • Having expertise for getting Trademark / Copy Rights / Patents from the Trademark Registry.

Requirements:


  • Should have the experience of non listed company
  • Sound knowledge of MS Office
  • Strong administrative skills
  • Commercial Awareness
  • The ability to take initiative

Job Types:
Full-time, Regular / Permanent


Salary:
₹40, ₹55,000.00 per month
