Job description
For Suraksha Realty & Group Companies
KRA\'s:
- Incorporation of new Companies & LLPs
- E-filing of various forms including Annual Return and Annual Report of the Company
- Maintaining various Statutory Registers and Records such as Register of Members, Share Transfer Register, Register of Directors, Register of Contracts u/s 301, Inter Corporate Investment Register u/s 372A & Minutes books
- Preparation of Board, Annual General and Extra-ordinary general meeting minutes, notices
- Change of Name, Registered office, Share capital, Object, Directorship of the Company and ROC compliance
- Allotment, Split, Redemption of Share / Debenture Certificates
- Independently handling Secretarial Compliance
- Conversion of Private Limited Company into Limited companies & LLPs and vice versa
- Issuance of Commercial Papers (CP) and Non Convertible Debentures (NCDs)
- Other compliances as required under Companies Act, 2013
- Due Diligence of Companies
- Obtaining Prior Approval and preparation and submission of regular and annual disclosures as required under SEBI(Substantial Acquisition of shares and Takeover Regulations), 2011 and SEBI ( Prohibition of Insider Trading Regulations),1992
- Follow up with Regional Director, Official Liquidator and ROC officials for obtaining Amalgamation and merger order of group entity
