Job description

For Suraksha Realty & Group Companies

KRA\'s:


  • Incorporation of new Companies & LLPs
  • E-filing of various forms including Annual Return and Annual Report of the Company
  • Maintaining various Statutory Registers and Records such as Register of Members, Share Transfer Register, Register of Directors, Register of Contracts u/s 301, Inter Corporate Investment Register u/s 372A & Minutes books
  • Preparation of Board, Annual General and Extra-ordinary general meeting minutes, notices
  • Change of Name, Registered office, Share capital, Object, Directorship of the Company and ROC compliance
  • Allotment, Split, Redemption of Share / Debenture Certificates
  • Independently handling Secretarial Compliance
  • Conversion of Private Limited Company into Limited companies & LLPs and vice versa
  • Issuance of Commercial Papers (CP) and Non Convertible Debentures (NCDs)
  • Other compliances as required under Companies Act, 2013
  • Due Diligence of Companies
  • Obtaining Prior Approval and preparation and submission of regular and annual disclosures as required under SEBI(Substantial Acquisition of shares and Takeover Regulations), 2011 and SEBI ( Prohibition of Insider Trading Regulations),1992
  • Follow up with Regional Director, Official Liquidator and ROC officials for obtaining Amalgamation and merger order of group entity
