Qualification:
Qualified CS (And LLB)
- To prepare and draft Agenda, Notes to Agenda, Notice for Board, Committees and General Meetings and circulating the agenda papers to Directors and other stakeholders
- Assist in conducting Meetings of Board and Committees thereof, AGM, EGM, and any other statutory meetings as per the requirement of Companies Act
- To timely maintain Minutes of Meetings of Board, Committees of Board, General Meetings and necessary records and statutory registers as per the requirements of the Companies Act
- To proactively plan for various upcoming compliances and ensure timely Statutory Compliance for the Company (including all Group Companies/LLPs) under Companies Act and other allied laws including Efilling of Forms/Returns, all compliances related to Companies Act, 2013, LLP Act, 2008 and other corporate laws applicable to the Company (including Group Companies/LLPS)
- To ensure timely updation of various compliances pertaining to CS Department in the Compliance tool of the Company
- To prepare Notice of General Meeting(s), Director's Report(forming part of Annual Report) and communication with various internal departments for preparation of Annual Report
- To continuously review and monitor compliance related to CSR activities of the Company
- To coordinate with internal and external stakeholders for Half Yearly due Diligence Report to be submitted to various Bankers for various credit facilities availed/to be availed by the Company
- Dealing and coordinating with Consultants, Lawyers, Secretarial Auditors, Company Law authorities and to ensure smooth functioning of the work related to Secretarial matters
- To coordinate, followup and communication with Registrar and Share Transfer Agent for various shares related matters of the Company
- Preferably should have knowledge related to Trademarks and Copyrights matters, Legal Metrology act, Food safety and Standards Act
- To manage all matters of Group Companies/LLPs including liasioning with Attorneys, maintenance of records, correspondence, etc.
- To draft all types of Agreements and other documents/legal papers/communications in consultation with Legal Advisors of the Company
- To review various agreement/deeds/legal documents (including those related to borrowings) and sharing comments/inputs thereon
- To ensure timely renewal/execution of various agreements related to Related Party Transactions under the Companies Act, 201
- Any other matter as may be instructed by the Management
