Job description
Experience Range between 5 to 10 yrs.

CS (Essential), LLB (preferred)

Key Responsibilities:
1.
Financial
a.
Assist in ensuring complete compliances under corporate laws, securities laws, SEBI Act, FEMA, RBI and other applicable Acts, Rules and Regulations.
b.Help monitor activities pertaining to security creation and documentation with Ministry of Corporate Office viz., execution & registration of security documents.
2.Operational
a.
Assist in secretarial functions encompassing preparation of agenda, convening, conducting and drafting meetings of Board of Directors, its Committee, AGM shareholders, creditors including court convened meeting, inter-departmental meetings and meetings with financial institutions, regulatory authorities, etc.
b. Assist in resolving queries, complaints received from shareholders, statutory authorities SEBI, Stock Exchange, etc.c. CSR function - Assist in monitoring activity and reporting to board. Help in formulating policy.
d. Due diligence for projects
e. Issuance of Debentures, Modification/ Roll Over of Debentures
f. Assisting in Legatrix System - Get tasks done from performers, periodical audit of Tasks, Assign tasks to users.
g. Ensuring the compliances of parent company auditors and its subsidiaries.
3.
Group
a.
Assist in formulating policies for various compliance corporate management and ensuring up to date record keeping, statutory registers, MIS to facilitate board meetings, committee meetings & shareholders meetings.
b.Liaise with various authorities like Stock Exchange, Company Law Board, Regional Director, Registrar of Companies, Ministry of Corporate Affairs, Securities & Exchange Board of India, Reserve Bank of India, etc.
c. Assist in formulating policies to ensure compliances with legal and procedural requirements under various enactments for effective corporate governance.d. Assist in preparation of AGM Manual.
e. Assist in preparation of Annual Report
f. Assist for postal ballet.
4.
People
a. Maintain a high performance culture through effective training and coaching in line with Organizational values and ethics
b. Ensure continuous skill up-gradation
