    GDS SaT – TSE – Operating Model and TSA – Associate Manager / Manager – India

    Within SaT, the TSE team assists clients throughout the transaction process, offering hands-on operational support and guidance for both buyers and sellers. Responsibilities include divestiture advisory services, readiness for carve-outs, operational due diligence, synergy assessment, day-one readiness evaluation, 100-day planning, integration support, evaluation of stand-alone costs and risks, and cost reduction initiatives. Our professionals handle transactions and business development globally.

    The opportunity

    We are seeking Associate Managers/Managers with 8 to 10 years of experience in M&A activities, post-transaction business integration and separation, particularly in cross-border M&A, with a focus on Operating Models and Transition Service Agreements. Ideal candidates will have a solid understanding of business functions, especially front and back-office operations.

    Your key responsibilities

    • Develop and implement a business operations model aligned with company objectives
    • Create current state, Day 1, and future state operating models
    • Identify business entanglements and Day 1 dispositions
    • Evaluate and provide insights on Transition Service Agreements (TSAs)
    • Collaborate with cross-functional teams for a smooth transition
    • Cultivate relationships with EY offices worldwide
    • Design and execute operating models and TSAs with clients and EY teams
    • Support business development by preparing presentations and proposals
    • Provide guidance and mentorship to TSE professionals
    • Conduct performance reviews and offer training for professional development

    Skills and attributes for success

    • Experience in creating operating models in complex environments
    • Deep knowledge of business functions and M&A processes
    • Financial analysis expertise linking operational and financial aspects
    • Understanding of sector-specific processes for designing operating models
    • Ability to identify, scope, and cost TSAs effectively
    • Skilled in managing complex integration issues
    • Adaptability to new challenges
    • Strong problem-solving, project management, and communication skills
    • Executive presence with networking and negotiation abilities

    To qualify for the role, you must have

    • Post Graduate degree in business, accounting, finance, engineering, or related field
    • 8-10 years of industry and/or consulting experience
    • Proficiency in MS Excel and PowerPoint
    • Willingness to travel internationally when necessary

    Ideally, you'll also have

    • Project management experience
    • Strong communication and presentation skills
