Requirements:


1. Secretarial Leadership

  • Lead and manage the secretarial team, ensuring all tasks are completed accurately and in a timely manner.
  • Act as the primary point of contact for all secretarial matters within the company, providing guidance and support to various departments as needed.

2. Regulatory Compliance

  • Stay updated on SEBI laws, RBI regulations, RERA and IFSCA and other relevant legal requirements, ensuring the companys compliance with all applicable regulations.
  • Coordinate with internal stakeholders to ensure timely submission of regulatory filings and disclosures.

3. Business Vertical Registrations

  • Manage the registration process for new business verticals, including Alternate Investment Funds, Portfolio Management Services, and Investment Advisory services in the broking segment, setting up of GIFT city compliances, RERA etc as per the requirements.
  • Liaise with regulatory authorities and external consultants to facilitate the registration process and ensure compliance with regulatory requirements.

4. Corporate Governance

  • Ensure compliance with corporate governance norms and best practices, including organizing board meetings, preparing minutes, and maintaining statutory records.

Risk Management:


  • Identify and assess potential legal and regulatory risks, and develop strategies to mitigate these risks effectively.
  • Provide guidance to senior management on legal and regulatory matters impacting the companys operations.

Qualifications and Skills:


  • Qualified Company Secretary with minimum 8 years of relevant experience in a stock broking company and NBFC.
  • Indepth knowledge of SEBI laws, RBI regulations, IFSCA and RERA and other relevant regulatory frameworks.
  • Experience in leading a secretarial team and managing complex regulatory compliance matters.
  • Strong analytical and problemsolving skills, with the ability to navigate legal effectively and regulatory challenges.
  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
  • Proactive approach to identifying and addressing potential compliance risks.
  • Ability to work independently and prioritise tasks in a fastpaced environment.

Preferred Qualifications:


  • Additional qualifications such as LLB would be an advantage.
  • Prior experience in registering Alternate Investment Funds, Portfolio Management Services, and Investment Advisory services would be highly preferred.
