    Description

    ClientDelivery Involved in draftingand reviewing deliverable such as reports proposals advice opinionsemails presentations for clients.
    Identification of the available restructuring options based onunderstanding of the commercial objectives of the proposedreorganization being contemplated by themanagement. Responsible for identifying andhighlighting issues involved in various engagements and presentpotential solutions.

    Undertaking detailedfiscal and regulatory review of the proposed reorganization thiswould involve evaluation of the various direct tax company law SEBIFEMA stamp duty accounting and commercial implications of theavailable options.

    Review of transactiondocuments such as business transfer agreement share purchaseagreement subscription agreements trust deeds asset sale/purchaseagreements etc. Responsible for implementingthe scheme of arrangement (merger/ demerger/ capital reduction/etc)includingdrafting scheme applicationpetition notice of meeting etc and attending NCLThearings. Undertaking buy side/ sell sidetax due diligence of the Target Company.
    Responsible for drafting the documents for various corporateactions including issuance of securities buy backetc. Support in pitching for new clientsundertaking a detailed study to identify possible restructuringideas/ opportunities.

    Assist in knowledgemanagement contribute information to knowledge sharing tools shareknowledge and experience via formal and informalmethods.
    BDSupport Draft &prepare proposals & pitch presentations.

    Evaluate potentialbusiness acquisition areas. Assist principal/partners in preparingstrong pitching ground to acquire newbusiness. Evaluate potential businessacquisition areas and possible additional service expansionopportunities. Identify leads from external& existing clients. Grow industrial knowledge and scope toenhance services to existing clients. Draftengagement letters accurately. Take care of the end to endinvoicing process including follow ups for outstandings &tracking paymentstatus.

    Research& Technical OpinionsExecute an exhaustive research for the clients in line with theirexpectations. Ensure usage of all tools (External marketdata/internal portals) to generate effectiveresearch. Undergo regular technicaltrainings/ knowledge sharing session within team to delivereffectively as well asefficiently. experience in M&A& transaction tax or Corporate taxadvisory Expected to be aware of businesseconomic and regulatory developments relevant to ourclients. Have sufficient knowledge ofCompany Law SEBI FEMA and other relevant corporatelaws.
