    Description

    Responsibilities ofa CompanySecretary

    Acompany secretary s core duties include optimising workflowprocedures in the office assisting colleagues and executives inplanning and distributing information and being the point ofreference for all queries requests or issues. Additionally as acompany secretary you ll needto:

    • Reportto the chairman and often liaise with boardmembers.
    • Prepareagendas and papers for board meetings committees and annual generalmeetings (AGMs) and follow up on actionpoints.
    • Conveneand service AGMs take minutes draft resolutions and lodge requiredforms and annual returns with appropriatedepartments.
    • Providelegal financial and/or strategic advice during and outside ofmeetings.
    • Ensurepolicies regulatory or statutory changes that might affect theorganization are up to date and approved by thecommittee.
    • Maintainstatutory books including registers of members directors andsecretaries.
    • Handlecorrespondence collate information write reports and communicatedecisions to relevant companystakeholders.
    • Liaisewith external regulators and advisers such as lawyers andauditors.
    • Implementprocesses or systems to ensure good management of theorganization.
    • Developand oversee the systems that ensure the company complies with allapplicable codes in addition to its legal and statutoryrequirements.
    • Paydividends to shareholders and manage share option schemes opted byvariousshareholders.
    • Takean active role and provide valuable input to the managementdecisions related to sharing issues mergers andtakeovers.
    • Monitorthe administration of the company s pensionscheme.
    • Managecontractual agreements with suppliers andcustomers.
    • Managethe office space and deal with personnel administration andcompany/staff insurancepolicies.
    • DrivePR activities related to aspects of financialmanagement.


    Requirements

    Licensed/ Registered Company Secretary with Min 2 years hands onExp.
    • Althoughthis area of work is open to all graduates candidates with aBachelor s degree in accountancy and finance business andmanagement and the law would bepreferred
    • Strongadministrative skills and an aptitude for using ITsoftware.
    • Goodverbal and written communicationskills.
    • Commercialawareness.
    • Meticulousattention to detail and the ability to work well underpressure.
    • Interpersonalskills and the ability to work with people at alllevels.
    • Influencingskills.
    • Excellentorganization and timemanagement.
    • Anability to takeinitiative.
    • Aflexible and practical approach towork.
