    Description

    Key Responsibilities:

    Legal Matters

    Legal Compliance:

    • Oversee all legal and regulatory compliance matters.
    • Ensure the company's operations adhere to Indian corporate laws, SEBI regulations and other applicable statutes.
    • Draft, review, and negotiate legal agreements, contracts and other documents.

    Litigation Management:

    • Manage and coordinate legal disputes and litigation matters.
    • Work closely with external legal counsel when necessary.

    Company Secretarial Functions:

    • Act as the Company Secretary and Compliance Officer.
    • Maintain statutory registers, records and filings as required under the Companies Act.
    • Prepare and file necessary documents with regulatory authorities.

    Corporate Governance:

    • Advise the management and board on corporate governance best practices.
    • Manage and support various committees related to corporate governance, such as the Audit Committee, Nomination & Remuneration Committee and Stakeholder Relationship Committee.
    • Ensure compliance with corporate governance norms and guidelines.

    Policy Development:

    • Develop, implement and maintain corporate policies and procedures.
    • Monitor changes in the legal and regulatory landscape and update policies accordingly.

    Stakeholder Communication:

    • Facilitate communication between the company and shareholders.
    • Coordinate and conduct annual general meetings and other shareholder meetings.

    Risk Management:

    • Identify and assess legal and regulatory risks.
    • Develop strategies to mitigate potential risks.

    Ideal Experience:

    • Qualified Company Secretary (CS) with an ICSI membership with at-least 12 to 15 years of experience.
    • Must have experience of working in Manufacturing industry.
    • Bachelor's degree in law (LLB) from a recognized institution will be an added plus.
    • Should have experience of working in listed company.
    • Should have worked on IPO / listing of company.
