    Description

    Role/ responsibilities:

    • Administration and compliances relating to meetings of Board, Committees and
    Shareholders including drafting of agenda and minutes


    • Preparation of Annual Report
    • Statutory filings with MCA / SEBI / RBI
    • Compliances pertaining to SEBI Regulations, Secretarial Standards, Insider
    Trading etc.


    • NCD related compliances(Non-Convertible Debentures)
    • Capital raise - rights issue / preferential issue/preference shares etc.
    • Preparing policies / codes / process notes for regulatory requirements
    • Drafting critical resolutions
    • Liasioning with Stock Exchanges, ROC, SEBI, Auditors, Internal Departments
    etc.


    • Assisting in Merger and amalgamation within the organisation
    • Ensuring FEMA compliances (FDI and ODI)
