    Description

    B2B Pharma Business Legal Role:

    • Drafting, review, negotiation, and finalization of business agreements (vendorcontracts, NDA, MOUs, distribution/procurement and supply chain relatedagreements, admin agreements, employment contracts, business supportagreements, loan agreements etc.) lease deeds, affidavits, POA and all formsof legal arrangements.2. Establishing, enforcing and implementing Legal and regulatory compliancesystems across the B2B business verticals pertaining to Drugs and CosmeticsAct and Rules, FSSAI, Consumer Protection Act and rules, Legal MetrologyAct and Rules, pharma marketing related rules and regulations, Contract Act,etc. This would include preparation/updation (as applicable), of SOPs toeducate the business teams on all the applicable compliances and conductperiodic interactive sessions with the teams to help implement and monitor theSOPs.3. Drafting legal notices, representation letters to regulators, consumers or anythird party.4. Liaise with law enforcement agencies/external counsels/regulatory authoritiesto advocate company's issues/positions before the regulatory bodies andcourts of India. Should have a basic knowledge and aptitude towardslitigation/dispute strategizing and management.5. Advisory legal support to Business team for the various business functions-would be good to have knowledge of the pharma compliance related laws andregulations such as D&C Act and Rules, FSSAI, Legal Metrology etc. Thiswould also involve actively working with the business teams to derive solutionsfor any legal issues arising within the B2B business.6. Complete handling of investor Due Diligence exercise which involvescoordination across teams, providing responses to all investor queries, draftingand collating responses in a timely manner, explaining legal structure toinvestor/third party counsels over calls, discussions.7. Be a SPOC and maintain a repository for all documents of the legal team.8. Mentor and guide the team towards keeping updated on all relevant and sectorspecific laws and regulations, front end discussions with business leads onadvisory matters and play a supervisory role in day-to-day business contractmanagement.9. Manage completion of conditions precedents, conditions subsequent, preparedisclosure letters for fund raising activities including review of shareholdersagreements, share subscription agreements, share purchase agreements etc.
    Skills Required:1. Excellent written and verbal communication in English2. String leadership, mentoring skills3. Working Knowledge of the above-mentioned applicable laws, rules andregulations4. High attention to detail5. Strong persuasion and negotiation skills to handle internal and externalstakeholders6. Ability to work in high pressure situations (on a need basis only- we typicallyencourage an atmosphere of learning, growth and innovation through positiveand fruitful interactions across the organization)
