    Description

    Responsibilities

    • Comprehensive knowledge and experience of various corporate laws, such as Companies Act, Contract Act, Societies Act, FCRA, and FEMA regulations, with expertise in areas like FDI, ODI, and ECBs.
    • Working knowledge of SEBI laws, listing compliance, and regulatory filings under SEBI LODR, ICDR, SAST, PIT, and other listing regulations.
    • Conducting board meetings, shareholders meetings, and preparing necessary documents with adherence to legal and regulatory guidelines.
    • Handling due diligence of listed and unlisted entities.
    • Managing mergers and acquisitions, private equity transactions, etc.
    • Drafting, reviewing, and negotiating transaction agreements/documents like term sheet, share purchase agreements, shareholders agreements, loan agreements, etc.
    • Preparing legal opinions and advisory on various laws.
    • Handling matters under I&B Code would be an added advantage.

    Requirements

    • Qualifications:
    • LLB qualified
    • CS qualified
    • Prior working experience in a Law Firm
