Job description
Role & responsibilities
CS with 3 to 4 years of post-qualification work Experience as a Company Secretarial.
Advising the board of directors on corporate governance matters, maintaining board meeting records, and ensuring compliance with relevant laws and regulations including the Companies Act, Securities and Exchange Board of India (SEBI) regulations, and other applicable statutes.
This includes managing statutory registers, filing necessary forms and returns with regulatory authorities. Organize and facilitated board meetings, drafting agendas, preparing minutes, and handling correspondence with directors. Additionally, assisted in organizing the Annual General Meeting (AGM) and ensuring compliance with AGM-related requirements. Drafting and reviewing legal and secretarial documents, such as board resolutions, minutes of meetings, agreements, and various corporate communications. Also ensure the accuracy, legality, and completeness of documents. Staying updated with changes in company law, corporate governance norms, and other regulatory developments. Involve conducting legal research, analyzing regulatory updates, and providing guidance to the management on the impact of any changes. Liaise with regulatory authorities, such as Registrar of Companies (ROC), Stock Exchanges, and SEBI. This includes filing necessary documents, responding to queries, and representing the company during regulatory inspections or investigations. Provide general support to the management and other departments regarding secretarial and legal matters time to time. Also advising on compliance-related issues, supporting corporate transactions, and maintaining corporate records and registers. Effective communication skills and the ability to understand and address client concerns. Building and maintaining relationships and providing effective advisory services.As a secretary must have handled Multi Clients assignments Independently. Ability to respond promptly. Should be a team player with a proactive & result oriented approach and meet Secretarial Standard and deadlines.
