The accelerated growth in next 5 years would cover large part of India operation in transforming to Digital form with technology and advance analytics with IOT, virtual reality, RPA, Block chain and Neural Network.


Overview:


A Company Secretary (CS) in a mid-level role with legal experience plays a crucial role in ensuring that a company complies with all legal and regulatory requirements.


Responsibilities:


1-Legal Compliance:


  • Ensure the company complies with relevant laws, regulations, and guidelines.
  • Stay updated on changes in legislation that may impact on the company's operations.
  • Advise the management on legal and regulatory matters.

2-Corporate Governance:


  • Facilitate board and committee meetings, ensuring proper documentation and compliance with corporate governance standards.
  • Provide support in the development and implementation of corporate governance policies and practices.
  • Maintain statutory registers and records.

3-Company Secretarial Duties:


  • Manage the company's statutory registers, including the register of members, directors, and debenture holders.
  • Ensure timely filing of statutory returns and other legal documents with regulatory authorities.
  • Draft and filing/maintaining legal documents such as board resolutions, minutes of meetings, and agreements.

4-Contract Management:


  • Must have experience in reviewing shareholder agreements and share purchase agreements.
  • Preferred experience in:
  • Review and draft contracts, agreements, and legal documents.
  • Advise on legal implications of contracts and agreements.
  • Ensure that contractual arrangements comply with legal requirements.

5-Risk Management:


  • Identify and assess legal risks associated with the company's activities.
  • Develop strategies to mitigate legal risks and protect the company's interests.

6-Communication and Liaison:


  • Act as a liaison between the company, its directors, and regulatory authorities.
  • Communicate legal requirements and updates to relevant stakeholders within the organization.

7-Training and Development:


  • Conduct training sessions for company personnel on legal and compliance matters.
  • Keep the management and staff informed about changes in laws and regulations affecting the company.

8-Ethics and Integrity:


  • Promote ethical conduct and integrity within the organization.
  • Investigate and address any breaches of legal or ethical standards.

9-Collaboration:


  • Collaborate with internal departments, external legal counsel, and regulatory bodies.
  • Work closely with other departments to ensure legal considerations are integrated into business decisions.

Qualifications:


  • CS qualified
  • 45 years of experience as a CS and in Legal role.
  • Strong analytical and problemsolving skills
  • Excellent communication and interpersonal skills
  • Ability to work independently and in a team environment.
  • Sharp verbal and written skills for effective and assertive communication with internal and external stakeholders.
