- Collaboratewith the Board of Directors and senior management on corporategovernance matters
- Prepare agendas and papersfor board meetings committees and annual general meetings (AGMs)take minutes and follow up on action points
- Ensure that the company complies with allrelevant laws and regulations including the Companies Act and otherstatutory requirements.
- Assist in thepreparation and filing of necessary legal documents and annualcompliance statements.
- Coordinate and prepareboard meeting materials ensuring compliance with statutoryrequirements.
- Maintain and update corporaterecords minutes and resolutions.
- Handleshareholder communication and correspondence effectively.
- Assist in organizing and managing shareholdermeetings including annual general meetings.
- Manage and oversee the preparation and filingof statutory returns and reports with relevant authorities.
- Ensure the timely submission of all necessarydocuments and fees.
- Assist in reviewing anddrafting contracts agreements and legal documents related to theresorts and hotel industry.
- Coordinate withlegal counsel when required and maintain a contracts repository.
- Identify potential legal and compliance riskswithin the organization and propose solutions to mitigate them.
- Stay uptodate with legal developments in theindustry and advise management accordingly.
- BachelorsDegree in Company Secretaryship (CS) or a combination of CS and LLB(Bachelor of Laws).
- Membership of theInstitute of Company Secretaries of India (ICSI).
- Proven 35 years of experience of working in asimilar role within the resorts hotel hospitality industry.
- Strong and Indepth knowledge of corporategovernance legal compliance regulatory compliances
- Excellent communication and interpersonalskills.
- Attention to detail and a commitmentto accuracy.
- Proactive creative problem solverwith the ability to work independently and in a team.
- Ability to handle sensitive and confidentialinformation with professionalism.
- Familiaritywith relevant software and tools for company secretarial work.
- Ability to work independently andcollaboratively within a team.
