What You Would Be Doing

Automating standard secretarial processes.

Handling corporate compliances of more than 20 companies (domestic and overseas) including

society and Section 8 Companies.

Advising on good governance practices and compliance of Corporate Governance norms as

prescribed under various laws.

Handling the promotion, formation and incorporation of companies and matters related

therewith for foreign jurisdictions.

Handling M&A transactions undertaken by the Company.

Managing every fund raise of the Company including the secondary transfers as well.

Responsible for filing, registering any document including forms, returns and applications by

and on behalf of the company as an authorized representative

Managing the entire lifecycle of ESOPs through a portal and conducting trainings for the

employees of the Company.

Independently manage the amalgamation of subsidiaries through NCLT route.

Preparing Board minutes, general meeting minutes and timely execution of the same

Research on various corporate actions under the Companies Act, 2013

Acts as the custodian of corporate records, statutory books and registers

Drafting, negotiating, reviewing and end to end management of standard company contracts

with vendors, clients, etc.

Takes proper action to close out the contract in accordance with applicable procedures at the

conclusion of all activity.

Timely follow-up with Vendors/customers, Consultants and providing the appropriate

information as and when needed.

What We Are Looking At

Company Secretary with min 3+ years of experience in Corporate (Law Graduate – preferred).

Excellent Communication Skills.

High level energy and patience, timely response and quick learner.

Ability to multi-task and perform under pressure.

Strong knowledge on Companies Act, 2013, FEMA, SEBI and Listing regulations.

Experience of Initial Public Offer – preferred.

Able to work independently and manage team of company secretaries.

SPOC for all external stakeholders including investors, regulators, shareholders.
