    Description

    Position Summary:

    • Service Lee Technologies Private Limited "Company", operating under the brand name "Servify", is searching for a commercial and technology transactions attorney for the Manager role to support its global legal function.
    • The role involves independently managing various areas such as commercial customer and vendor contracts for Indian business operations, global mergers and acquisitions, global data privacy and protection, global intellectual property, and global licenses & registrations.
    • The ideal candidate should have a solid background in corporate law, exceptional communication and organizational skills, and the ability to handle complex legal matters with minimal supervision.
    • This person will collaborate closely with the Head Legal and Secretarial, management, data protection officer, and business teams.

    Key Responsibilities:

    • Key strategic member of the legal team supporting the Company's Indian business operations and global mergers and acquisitions, global data privacy and protection, global intellectual property, and global licenses & registrations.
    • Draft, review, and negotiate various commercial customer and vendor contracts, such as NDAs, MSAs, SOWs, SaaS licensing agreements, MOUs, and other complex commercial, technology, and strategic partnership agreements.
    • Streamline contract management process by standardizing contract templates globally, including commercial contracts, data processing agreements, and NDAs.
    • Manage mergers and acquisition transactions as the legal Single Point of Contact (SPOC), including conducting/reviewing due diligence, drafting/negotiating transaction documents, handling closing/post-closing formalities, and liaising with stakeholders.
    • Oversee intellectual property matters of the company as the legal SPOC, including drafting/reviewing IP related legal documents, liaising with stakeholders, and handling legal notices, responses, and prosecution work.
    • Manage global data privacy and protection matters as the legal SPOC in conjunction with the DPO and internal stakeholders, involving drafting, reviewing, and negotiating data processing agreements, reviewing personal data journeys globally, structuring processes related to personal data processing, and other tasks related to data privacy and protection.
    • Collaborate with internal stakeholders across jurisdictions and offer guidance on legal issues, brief/manage external consultants, advise on day-to-day legal issues faced by businesses, monitor legislative changes, and collaborate with different departments on projects as needed.

    Requirements:

    • Bachelor's degree in law from a reputable institution.
    • Master's degree is a plus.
    • Minimum 3 years of relevant experience in a law firm or in-house legal department.
    • Strong knowledge of corporate laws and procedures.
    • Excellent drafting, research, analytical, and problem-solving skills.
    • Demonstrated ability in creating legal strategies, professional ethics, integrity, sound judgment, interpersonal and communication skills, urgency in driving results, and ability to manage multiple projects both independently and as part of a team.
